These Terms of Service ("Terms") govern your access to and use of the products operated by Crimson Forge, Inc., a Delaware corporation ("Crimson Forge," "Company," "we," "us," or "our"), including:

…together with our mobile apps, web apps, AI features, OBD2 integrations, and any related services (collectively, the "Services" or the "Platform").

⚠ Important. These Terms include disclaimers of warranties, an indemnification clause, a limitation of liability, a binding arbitration agreement, and a class action waiver. Please read them carefully. By using the Services, you agree to these Terms.

By creating an account, accessing the Services, or using any part of them, you — the shop owner, technician, vehicle owner, or authorized representative ("You" or "Shop" where applicable) — agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

"Services" or "Platform" means the Crimson Forge products listed above, including web applications, mobile applications, APIs, AI diagnostic tools, OBD2 integration features, and all associated services.

"ForgePilot" means Crimson Forge's AI-assisted diagnostic platform for automotive technicians, accessible via mobile apps and at app.forgepilot.pro.

"CrimsonForge Pro" or "CFP" means Crimson Forge's shop management platform, accessible at app.crimsonforge.pro.

"ForgePulse" means Crimson Forge's consumer vehicle companion app, in development at forgepulse.pro.

"Forge Assist" means the AI chat assistant feature embedded in ForgePilot and (where available) in CFP.

"Shop" means an automotive repair business entity that has registered for and uses the Services.

"User" means any individual — including shop owners, advisors, service writers, technicians, or vehicle owners — who accesses the Services.

"Account" means the registered account created to access the Services.

"Repair Order (RO)" means a work order, service ticket, or job record created within CFP to document vehicle service activity.

"Diagnostic Session" means a job-scoped record in ForgePilot containing a vehicle profile, DTCs, Forge Assist chat history, and any attached files.

"Your Content" means all data, records, customer information, vehicle records, repair histories, diagnostic results, chat messages, attached files, and other content entered into or generated through the Services by or on behalf of a User.

"AI Tools" means the artificial intelligence and machine learning features built into the Services, including Forge Assist, DTC interpretation, VIN-based vehicle profiling, intake-orchestration AI, and workflow automation.

"OBD2 Data" means vehicle telemetry, diagnostic codes, sensor readings, and related data transmitted to the Services via OBD2 scanner hardware or software integration.

"Subscription" means the paid plan selected by you to access Services features.

2. Account Registration & Eligibility

2.1 Eligibility

To use the Services, you must: (a) be at least 18 years of age; (b) be authorized to enter into binding agreements on behalf of any business you represent; (c) for ForgePilot and CFP, operate a legitimate automotive business or be employed by one; and (d) provide accurate, complete, and current registration information.

2.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@crimsonforge.pro of any unauthorized account access or security breach. We are not liable for any loss resulting from unauthorized account access that occurs due to your failure to secure your credentials.

2.3 Access Model

Access to the Services may be by invitation, by self-serve sign-up, or by purchase, depending on the product and its current launch phase. Crimson Forge reserves the right to approve, deny, or revoke access at its sole discretion. Invitation or sign-up does not guarantee continued access.

2.4 One Account Per User; Per-Seat Licensing

Each user account is for an individual. You may not share credentials with others to circumvent per-seat pricing or licensing terms. A Shop may have multiple user accounts under a single subscription as permitted by its tier; the Shop is responsible for all Users operating under its subscription.

3. Platform License

3.1 Limited License

Subject to your compliance with these Terms and timely payment of applicable Subscription fees, Crimson Forge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your own internal business or personal automotive purposes, as applicable to the product.

3.2 Restrictions

You may not: (a) sublicense, resell, or share Services access with any third party outside your authorized scope; (b) reverse engineer, decompile, or attempt to extract source code, except where permitted by law; (c) use the Services to build a competing product or service; (d) scrape, harvest, or systematically extract data from the Services; (e) use the Services for any unlawful purpose; (f) attempt to circumvent any access controls, security features, rate limits, or usage caps; (g) rebrand, white-label, or otherwise represent the Services as your own; or (h) use AI features in a manner that violates Anthropic's Usage Policies, which we incorporate by reference.

3.3 No Implied License

No rights are granted to you other than those explicitly stated in these Terms. All rights not expressly granted are reserved by Crimson Forge.

4. AI Diagnostic Tools — Limitations & Disclaimer

⚠ CRITICAL — AI TOOL LIMITATIONS. This section contains critical limitations on the use of AI-powered features. Misuse of AI diagnostic suggestions in place of qualified technician judgment may result in vehicle damage, personal injury, or property damage for which Crimson Forge bears no liability.

4.1 Nature of AI Suggestions

The AI Tools within the Services — including Forge Assist, DTC analysis, intake-orchestration AI, and any AI-generated content — are designed to assist qualified automotive professionals by providing informational starting points and workflow efficiency. They are not a substitute for professional judgment, hands-on inspection, or licensed technician expertise.

4.2 No Professional Diagnostic Advice

AI-generated suggestions, DTC interpretations, repair recommendations, and chat responses are informational tools only. They do not constitute professional automotive diagnostic advice, engineering recommendations, or safety certifications. Every repair decision must be independently evaluated and confirmed by a qualified technician.

4.3 Technician and User Responsibility

You — and where applicable, the Shop and its technicians — retain full, exclusive responsibility for all diagnostic conclusions, repair decisions, and work performed on customer vehicles. Crimson Forge is not responsible for any misdiagnosis, failed repair, vehicle damage, comeback repair, customer injury, warranty claim, or liability claim arising from reliance on AI Tool outputs without independent technician verification.

4.4 AI Accuracy Limitations

AI Tools are trained on historical data and may not reflect the most current technical service bulletins, manufacturer updates, recall information, or vehicle-specific anomalies. AI can be confidently wrong — it can misinterpret data, miss safety concerns, or fabricate technical details. Always cross-reference with manufacturer documentation and your professional judgment.

4.5 No Safety-Critical Reliance

AI Tools must never be used as the sole basis for decisions affecting vehicle safety systems, including brakes, steering, airbags, electrified powertrain, fuel systems, or any component whose failure could cause bodily harm. Always confirm against OEM service information.

4.6 Scanner Screenshot Attachments (ForgePilot)

ForgePilot supports attaching screenshots from third-party scan tools (Snap-on, Autel, Launch, Bosch, Matco, and others) to Forge Assist chat for AI analysis. Crimson Forge is not affiliated with, endorsed by, or partnered with these scanner manufacturers. The AI analysis is informational only and Section 4.3 applies fully.

5. OBD2 Data & Vehicle Telemetry

5.1 Data Transmission Consent

By using OBD2 integration features (primarily in ForgePilot, with future integration planned for CFP), you represent that you have obtained the vehicle owner's consent to connect diagnostic hardware to their vehicle and transmit vehicle data to the Services.

5.2 Data Accuracy

OBD2 data is provided as-is. Crimson Forge does not warrant the accuracy, completeness, or reliability of OBD2 readings. Technician verification of all OBD2-derived data is required before acting on it.

5.3 Hardware

Crimson Forge does not currently manufacture OBD2 hardware. Third-party scanner devices (e.g., OBDLink MX+) are subject to their respective manufacturers' terms and warranties. Crimson Forge is not liable for hardware defects, failures, or compatibility issues.

5.4 Vehicle Owner Privacy

Vehicle data obtained through OBD2 connections belongs to the vehicle owner. You agree not to retain, share, sell, or use vehicle owner data for any purpose beyond the specific repair, service, or diagnostic transaction for which it was collected, unless you have explicit consent from the vehicle owner.

6. Subscription & Billing

6.1 ForgePilot Subscription Model

ForgePilot is free to download from the Apple App Store and Google Play Store. To unlock full functionality, you subscribe at forgepilot.pro/account, where billing is processed by Stripe. Subscriptions are not sold or processed through the App Store or Google Play. You will not be charged through Apple or Google. We use direct billing instead of in-app purchase so more of your subscription dollar goes into building the product instead of platform fees.

6.2 CrimsonForge Pro Subscription Tiers

CrimsonForge Pro is offered in the following monthly Subscription tiers, billed via Stripe at app.crimsonforge.pro:

Annual billing is available at a discount equivalent to two months free. Current pricing is at app.crimsonforge.pro/pricing. Early Adopter pricing is governed by your Letter of Intent (where applicable) and supersedes the above where applicable.

6.3 ForgePulse Subscription Model

ForgePulse is in development. Subscription terms, pricing, and availability will be announced when the product launches. ForgePulse waitlist participants will receive notice of subscription terms before any charge is initiated.

6.4 Billing Cycle

Subscriptions are billed in advance on a recurring basis (monthly or annual, depending on the plan you select). Your first billing date is the date your account is activated. Subsequent billing occurs on the same calendar date each cycle.

6.5 Payment Methods

Crimson Forge accepts payment via credit card and (where supported) ACH bank transfer through Stripe, a PCI-compliant third-party payment processor. Crimson Forge does not store full credit card numbers.

6.6 Failed Payments

If a payment fails, we will notify you and attempt to reprocess within 5 business days. Sustained non-payment may result in account suspension or termination.

6.7 Cancellation

You may cancel your Subscription at any time from your Account settings or by contacting billing@crimsonforge.pro. Cancellation is effective at the end of the current billing period. No refunds for partial billing periods are issued, except where required by applicable law. We will consider refund requests in good faith in exceptional circumstances.

6.8 Price Changes

Crimson Forge reserves the right to change Subscription pricing with at least 30 days written notice. Early Adopter pricing is locked for the period specified in your Letter of Intent.

6.9 Taxes

Subscription fees do not include applicable sales, use, VAT, or other taxes. You are responsible for all taxes applicable to your use of the Services in your jurisdiction.

6.10 Free Trials and Promotions

If we offer a free trial, the trial terms and length will be disclosed at signup. Unless you cancel before the trial ends, you will be charged the regular Subscription rate.

7. Your Content — Ownership & Use

7.1 You Own Your Content

All Your Content — including customer records, repair histories, vehicle records, work orders, diagnostic sessions, chat messages, attached files, photos, and any other data you enter into the Services — remains the exclusive property of you or your Shop, as applicable. Crimson Forge makes no ownership claim.

7.2 License to Crimson Forge

You grant Crimson Forge a limited, non-exclusive, worldwide, royalty-free license to access, host, process, store, and transmit Your Content solely as necessary to provide the Services. This license terminates when your Account is closed and Your Content is deleted per Section 7.6, except for anonymized, aggregated data we may retain.

7.3 AI Training Data

Crimson Forge may use aggregated, anonymized, de-identified data to train and improve our own AI models under the following conditions: (a) data is aggregated across multiple Users or Shops such that no individual is identifiable; (b) no personally identifiable information is included; (c) no vehicle-owner-identifiable information is included; and (d) the data cannot be reverse-engineered to identify you, your Shop, or your customers.

We do not use the content of your individual chat sessions, attachments, or shop records to train AI models or build commercial datasets without your explicit consent.

7.4 No Sale of Your Content

Crimson Forge will never sell, rent, or transfer your identifiable Content to any third party for any commercial purpose. This commitment survives termination of your Account.

7.5 Data Export

You may request a full export of Your Content at any time by contacting legal@crimsonforge.pro. We will provide your data in a standard, machine-readable format within 30 business days at no charge.

7.6 Data Retention After Termination

Upon termination of your Account, Crimson Forge will retain Your Content for 60 days, during which you may request an export. After 60 days, Your Content will be permanently deleted from our production systems. Anonymized aggregates that have already been incorporated into AI training cannot be individually removed.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you also agree to the Privacy Policy.

9. Third-Party Integrations

9.1 General

The Services integrate with third-party services to provide additional functionality. Your use of these integrations is subject to both these Terms and the applicable third-party terms of service. Crimson Forge is not responsible for the availability, accuracy, or actions of third-party services.

9.2 Anthropic (AI Processing)

Crimson Forge uses Anthropic's commercial API to power AI features. Your inputs (chat messages, attached files, diagnostic context) are sent to Anthropic per-request to generate responses. Per Anthropic's commercial API terms, your inputs are not used to train Anthropic's models. Your use of AI features is subject to Anthropic's Usage Policies.

9.3 MOTOR Information Systems

ForgePilot subscribers (and, in the future, CFP subscribers) have access to repair procedures, DTC definitions, diagnostic flowcharts, and other data licensed from MOTOR Information Systems ("MOTOR Content"). MOTOR Content is provided for reference purposes only. Crimson Forge does not warrant the accuracy or completeness of MOTOR Content for any specific vehicle or repair scenario. Coverage varies by make, model, year, and engine.

MOTOR Content is the proprietary intellectual property of MOTOR Information Systems. You may not copy, redistribute, re-publish, train AI on, or extract MOTOR Content from the Services for use outside the Services. AI features may crop, search, and add commentary alongside MOTOR Content, but may not restate MOTOR Content as AI-generated text.

9.4 QuickBooks Online (Intuit)

CFP Pro and Elite subscribers may connect their QuickBooks Online account to enable accounting synchronization. By connecting QuickBooks Online, you authorize Crimson Forge to access your QuickBooks account for the following limited purposes only:

Crimson Forge does not access, read, or store your QuickBooks payroll data, banking information, tax records, financial reports, or any data outside the scope listed above. The QuickBooks connection is optional, initiated by you, and may be disconnected at any time from your Shop Settings. Disconnecting will not delete existing repair order data within CFP. QuickBooks data accessed through this integration is processed in real-time and governed by Intuit's Privacy Policy and Terms of Service.

9.5 CARFAX

CFP Pro and Elite subscribers may access CARFAX vehicle history reports for vehicles processed through the Services. CARFAX reports are subject to CARFAX's terms and are provided for informational purposes. Crimson Forge is not responsible for the accuracy or completeness of CARFAX data.

9.6 Stripe (Payment Processing)

Subscription billing and optional in-person payment processing are handled by Stripe, Inc. under PCI-DSS compliance standards. Crimson Forge does not store full credit card numbers. Your use of payment features is also subject to Stripe's Terms of Service.

9.7 Apple and Google (App Distribution)

The ForgePilot mobile app is distributed through the Apple App Store and Google Play Store. Your installation and use of the mobile app is also subject to Apple's and Google's respective terms. Subscriptions are not sold through Apple or Google — see Section 6.1.

You agree not to use the Services in any manner that:

11.1 Crimson Forge IP

The Services, including all software, AI models, algorithms, interfaces, design, documentation, and trademarks, are and remain the exclusive property of Crimson Forge, Inc.

The names and logos for "Crimson Forge," "CrimsonForge Pro," "ForgePilot," "ForgePulse," "Forge Assist," and related marks are trademarks of Crimson Forge, Inc. You may not use them without our prior written permission.

11.2 Feedback

If you provide suggestions or feedback about the Services, you grant Crimson Forge a perpetual, irrevocable, royalty-free license to use that feedback to improve the Services.

12. Disclaimers & Warranties

12.1 As-Is Service

The Services are provided on an "as is" and "as available" basis without warranty of any kind, express or implied. To the maximum extent permitted by law, Crimson Forge expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12.2 No Uptime Guarantee

Crimson Forge does not warrant that the Services will be available 100% of the time, uninterrupted, or error-free. We will use commercially reasonable efforts to maintain Services availability.

12.3 No Warranty on AI Outputs

Crimson Forge makes no warranty regarding the accuracy, completeness, timeliness, or fitness for purpose of any output generated by AI Tools. AI-generated content is provided for informational assistance only.

12.4 No Warranty on Third-Party Content

Crimson Forge makes no warranty regarding the accuracy, completeness, or availability of content from third-party providers (MOTOR, CARFAX, QuickBooks, OBD2 scanner manufacturers, etc.). Always confirm against OEM service information for safety-critical work.

13. Limitation of Liability

13.1 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, Crimson Forge shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, vehicle damage, personal injury, comeback repairs, customer disputes, reputational harm, or property damage, even if we have been advised of the possibility of such damages.

13.2 Cap on Liability

Crimson Forge's total cumulative liability under these Terms shall not exceed the greater of: (a) the total Subscription fees paid by you in the 3 months immediately preceding the claim; or (b) one hundred U.S. dollars ($100.00).

13.3 Jurisdictional Limits

Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Crimson Forge, its officers, directors, employees, agents, contractors, and licensors (including MOTOR Information Systems) from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) any repair, diagnostic decision, service outcome, or business decision performed in connection with AI Tool outputs or Services content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right, including any intellectual property right; or (e) any User's actions under your Account.

15. Termination

15.1 Termination by You

You may terminate your Account at any time by providing written notice to legal@crimsonforge.pro or, where available, by canceling in-app. Termination is effective at the end of your current billing period.

15.2 Termination by Crimson Forge

Crimson Forge may suspend or terminate your Account at any time, with or without notice, if: (a) you materially breach these Terms; (b) you fail to pay Subscription fees after notice and the cure period in Section 6.6; (c) we reasonably believe your account has been compromised; (d) we are required to do so by law; or (e) we determine your use poses a risk to other users or the integrity of the Services.

15.3 Effect of Termination

Upon termination: your license to use the Services immediately ceases; you remain liable for all outstanding fees; data retention provisions of Section 7.6 apply; and provisions that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, arbitration, and governing law) will survive.

15.4 Service Discontinuation

If Crimson Forge discontinues a product or the Services entirely, we will provide reasonable advance notice and a prorated refund of any prepaid, unused Subscription fees.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

16.2 Informal Resolution

Before initiating any legal proceeding, you agree to first contact us at legal@crimsonforge.pro to seek informal resolution. We will use good faith efforts to resolve disputes within 30 days of receiving written notice.

16.3 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration, administered by JAMS under its Streamlined Arbitration Rules and Procedures, conducted in Wilmington, Delaware (or remotely if both parties agree), and decided by a single arbitrator. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

16.4 Class Action Waiver

You and Crimson Forge each waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding. Disputes must be brought on an individual basis only.

16.5 Exceptions

Either party may bring an action in small-claims court for qualifying disputes, or seek injunctive relief in court to protect intellectual property rights.

16.6 Opt-Out of Arbitration

You may opt out of the arbitration agreement in Section 16.3 by sending written notice to legal@crimsonforge.pro within 30 days of first accepting these Terms. The notice must include your name, account email, and a clear statement that you decline arbitration. Opting out does not affect any other part of these Terms.

17. Changes to These Terms

Crimson Forge reserves the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms at crimsonforge.pro/terms with a new effective date and sending email notice to your Account email address at least 30 days before changes take effect. For material changes, we may also require you to re-accept the updated Terms on next login. Continued use of the Services after the change takes effect constitutes acceptance of the updated Terms.

18. General Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy and any applicable Letter of Intent or subscription order, constitute the entire agreement between you and Crimson Forge regarding the Services.

18.2 Severability. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable. All other provisions remain in full force.

18.3 Waiver. Crimson Forge's failure to enforce any provision does not constitute a waiver of its right to enforce that provision in the future.

18.4 Assignment. You may not assign or transfer these Terms or your Account without our prior written consent. Crimson Forge may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure. Crimson Forge is not liable for any failure or delay in performance due to causes beyond its reasonable control.

18.6 Relationship of the Parties. These Terms do not create any employment, partnership, joint venture, or agency relationship between the parties.

18.7 Headings. Section headings are for reference only and do not affect interpretation.
